Nomination commitee

Provisions on the establishment of a nomination committee are found in the Code. The nomination committee’s main task is to present appropriate candidates for the roles as chairman of the board, board members and auditor, as well as remuneration to these.

The nomination committee shall be composed of the chairman of the Board of Directors and three board members selected by the three largest shareholders as of November 14, 2025.

If any of the three largest shareholders decide not to appoint a member to the nomination committee, or if a member leaves or resigns before completing their term, the chairman of the Board of Directors will offer the next largest shareholder (i.e., the fourth largest) the opportunity to appoint a member, and so on. The nomination committee will designate a chairman from among its members. Neither the chairman of the Board of Directors nor any other board members of the Company may serve as the chairman of the nomination committee.

The members of the nomination committee will be announced no later than six months prior to the annual general meeting. In the event of a significant change in shareholder structure no later than seven weeks before the annual general meeting, a new member will be appointed. This new member will replace the former committee member who no longer represents one of the three largest shareholders. Members of the nomination committee will not receive compensation from the Company, unless otherwise decided by the general meeting.

Following discussions with the largest shareholders (as of November 14, 2025), the Nomination Committee consists of the following members:

• Eric Thysell, representing All-On-Green Ett AB;

• Oskar Britting, representing All-On-Green Tre AB

• Lars Lindgren, representing All-On-Green Fem AB

• Johan Ryding, Chairman of the Board of Directors

Eric Thysell has been appointed Chairman of the Nomination Committee.
